THE FOLLOWING IS A LEGAL AGREEMENT BETWEEN YOU AND THE COMPANY YOU REPRESENT ("USER") AND KIMBERLY-CLARK CORPORATION ("K-C"). BY CLICKING THE "ACCEPT" BOX OR BY OTHERWISE PROCEEDING TO UTILIZE THIS SITE, YOU REPRESENT THAT YOU ARE AUTHORIZED TO ACCEPT THESE TERMS ON BEHALF OF YOUR COMPANY AND THAT SUCH USE IS STRICTLY SUBJECT TO THESE TERMS AND K-C’S POLICIES, STANDARDS AND PROCEDURES. 1. Access to this site and use of the software contained herein is for the sole purpose of providing information to K-C and to otherwise support the business relationship with K-C. User shall limit its access only to those areas of this site to which it has been given authorization. 2. User shall maintain all information of, for or about this site and software, access thereto or information contained therein in strictest confidence, limiting access thereto on a need-to-know basis only and shall use such information solely to effect the process of providing information and other services to K-C. 3. K-C and/or its licensors retain all proprietary rights and title to this site and the software and User obtains no ownership or other proprietary right by virtue of its use thereof. 4. User will be issued a password and other instructions for use of this site. User is solely responsible for keeping password and information related thereto confidential, permitting access hereto on a need-to-know basis only. User shall notify K-C immediately if there is any indication whatsoever that the confidentiality of the password or related security procedures have been compromised. User is solely responsible for all activities conducted with its logon identification. User shall indemnify, defend and hold K-C harmless from any loss, damage or other liability that might result from the use or misuse of the password issued to User. 5. User agrees that they will not engage in or tolerate unauthorized use of K C’s technology resources; unauthorized release of technology-based information; unauthorized denial of access to technology resources; unauthorized copying, modification or use of software; or unauthorized destruction of K-C resources, including computer equipment, software, or information, where "destruction" includes contamination or any act that makes the resource unsuitable for its intended purpose. User acknowledges an obligation to advise K-C management promptly if he/she becomes aware or has reason to believe that anyone is engaging in any conduct which violates or might violate any of the above requirements. 6. User acknowledges and accepts the fact that there may be periods of time when access to this site and software is impaired or disrupted or is otherwise not available to User due to maintenance of hardware, software, other technology, availability or performance of the Internet or other reasons beyond K C’s control. 7. User agrees to comply fully with all relevant export laws and regulations of the United States ("Export Laws") to assure that neither the software nor any direct product thereof are (a) exported, directly or indirectly, in violation of Export Laws; or (b) are intended to be used for any purposes prohibited by the Export Laws, including without limitation, nuclear, chemical, or biological weapons proliferation. User represents and warrants that it is not subject to any U.S. government or governmental department restricted list or denied list or designated list which prevents the acquisition or licensing or use by, User of any U.S. products or technology. 8. The terms of this Agreement shall be construed in accordance with the laws of the State of Wisconsin, United States of America, without giving effect to the principles of conflict or choice of law of such State. The original of this Agreement has been written in English. The parties hereto waive any statute, law, or regulation that might provide an alternative law or forum or to have this Agreement written in any language other than English. This Agreement is not governed by the United Nations Convention on Contracts for the International Sale of Goods. If any provision of this Agreement is held to be excessively broad as to scope, activity, subject or otherwise so as to be unenforceable at law, such provision shall be constructed by limiting or reducing it so as to be enforceable to the maximum extent compatible with the applicable law as it shall then appear. This Agreement represents the entire understanding between the parties with respect to its subject matter and merges all prior written and oral communications. This Agreement may not be modified except by a written Agreement signed by authorized representatives of both parties. A waiver by either party of its rights hereunder shall not be binding unless contained in a written agreement signed by an authorized representative of the party waiving its rights. The non-enforcement or waiver of any provision on one occasion shall not constitute a waiver of such provision on any other occasion unless expressly so agreed in writing. |
